Terms of Service and Sale
1. Who we are
Day One Solar Kits is a product of The Day Company LLC, a Washington limited liability company, 100 N Howard St Ste R, Spokane, WA 99201 ("we," "us"). Contact: [email protected]. These terms are an agreement between you and us. By buying, subscribing, downloading or using our site or materials, you agree to them. If you buy for a company, you confirm you can bind it, and "you" includes the company.
2. What we sell
Digital sales-training materials for solar sales professionals: kits, scripts, templates, trainings, calculators and AI prompts ("Materials"). Our products are offered to customers in the United States, and the Materials are written for US practices. You must be at least 18.
What subscriptions include. The Rep Membership and team plans include the kits and materials available to members when you subscribe (today: Kit 01, the Post-Credit Objection Cheat Sheet and the commission calculator) plus any new kits we release while your subscription is active. Anything we describe as "planned" or on a roadmap is not promised, has no guaranteed release date, and isn't part of what you pay for, unless we commit to it in writing.
3. Educational use only; not professional advice
The Materials are general education and sales training. They aren't legal, tax, accounting, financial, investment or compliance advice, and we aren't your lawyer, tax advisor or employer. Tax incentives, utility rates and solar rules change often; information that was accurate when written may be out of date when you read it. Check current official sources (such as IRS.gov and your utility and state regulators) and your company before you tell a homeowner anything about taxes, savings, rates or rules.
4. No earnings or results promised
We don't promise or imply that you'll make any sale, earn any amount, or get any particular result. Your results depend on your skills, effort, market, company, products, pricing and many factors outside our control. Any numbers in our Materials, tools or examples (including the commission calculator) are made up for illustration or are calculations on numbers you enter; they aren't typical results or predictions. If we ever show a testimonial, it will reflect the person's honest experience, we'll disclose any connection or compensation, and it won't mean your results will be similar.
5. You're responsible for how you sell
You're solely responsible for how you and your team use the Materials and for following every law, regulation, license requirement and company policy that applies to your sales activity. That includes, for example: the Telephone Consumer Protection Act and FCC rules on calls, autodialers, prerecorded messages and texts (47 U.S.C. §227; 47 C.F.R. §64.1200); the FTC Telemarketing Sales Rule and Do Not Call Registry (16 C.F.R. Part 310); the FTC Cooling-Off Rule for door-to-door and home sales (16 C.F.R. Part 429) and state home-solicitation, cancellation and door-to-door permit laws; state solar consumer protection, disclosure and registration laws (for example, California's Solar Energy System Disclosure Document requirements and Texas's residential solar retailer law); truth-in-lending and financing disclosure rules; and fair, non-deceptive sales practices under federal and state law. Our scripts are starting points. Adapt them to your company's approved scripts, disclosures, pricing and contracts, and never use them to make a claim you can't support.
6. Your license
- Kit purchases (such as Kit 01): a personal, non-exclusive, non-transferable license for one named person to use the Materials in their own sales work.
- Rep Membership: the same license for one person, for as long as the subscription is active. You keep Materials you downloaded while subscribed for your own use.
- Kit 01 Team License: a non-exclusive, non-transferable license for the buying company to use Kit 01 internally with up to 10 of its own reps, managers or contractors at a time. You may share the files inside your company (for example, on a company drive) and replace people who leave. You may not resell, sublicense, publish or share it outside your company, or use it with more than 10 people at once.
- Team plans: one seat per person, up to the seats purchased, for people working on your team. The account owner may reassign a seat when someone leaves. Seats can't be shared by more than one person at a time, sold, or used by people outside your organization.
- You may: print the Materials, say the scripts out loud, and adapt the templates (such as the leave-behind) for your own or your team's selling, including adding your company's details.
- You may not: resell, sublicense, republish, post publicly, upload to shared drives (except a company drive under a Kit 01 Team License) or AI training datasets, share files or sign-in links outside your license or seats, remove our notices, or use the Materials to build a competing product. Pasting the kit's AI practice prompts into an AI chat tool to practice is fine.
6A. How long you have access
- Kits you buy (such as Kit 01): you can download the kit, including updates we publish to that kit, from My Kits for as long as we operate the Day One Solar Kits service. If we ever discontinue the service, we'll give you at least 60 days' notice by email so you can download your files, which you may keep for your own use under your license.
- Rep Membership and team plans: access to all kits starts when your subscription has its first successful payment, and lasts while the subscription stays active and paid. A reservation (a pre-sale subscription with no payment yet) doesn't include access to any kits or files. When the subscription ends, access to My Kits for that plan ends; files you already downloaded remain usable under section 6.
- Company Install: the included Team 10 access lasts 3 months from purchase.
- Refunds and chargebacks: if a purchase is refunded or disputed, access tied to it ends, and you agree to delete the files you downloaded with it.
- Logging in: My Kits uses a one-time link sent to the email you paid with. Keep access to that email; we may ask you to verify your identity before moving a purchase to a different email.
7. Intellectual property
We (or our licensors) own the Materials, the site and the Day One Solar Kits name and branding. Except for the license above, no rights are transferred. Other company names that appear in the Materials (for example, companies discussed in news events) are trademarks of their owners, are used only to identify them, and don't imply any affiliation or endorsement. We're not affiliated with any solar installer, manufacturer, finance company or utility. If you send us ideas or feedback, we may use them without obligation to you.
7A. Company Install (services)
What it is. The Company Install is a one-time service for a business, sold only to applicants we approve. For the price shown at checkout ($1,997 unless we agree otherwise in writing), we deliver: (a) a custom version of Kit 01 adapted to the product names, financing options, pricing language and disclosures you give us in the intake form; (b) a co-branded homeowner leave-behind; (c) two live team trainings of about 45 minutes each, led by Damien Day over video; (d) 3 months of Team 10 access (10 seats), which ends after 3 months and does not renew automatically; and (e) a 4-week rollout calendar.
Your part. You give us accurate intake information and approve the final materials. You're responsible for making sure the custom kit and leave-behind match your company's real products, prices, licenses and approved disclosures, and for your compliance team's review before use. Don't send us homeowners' personal information.
Scheduling. We schedule both trainings with you after payment and a completed intake. The first training is normally within about 3 weeks of a completed intake; timelines on our site are typical, not guaranteed. You may reschedule a training once with at least 2 business days' notice. If you miss a scheduled training without notice, or don't schedule the second training within 90 days of purchase, that training is treated as delivered. If we must reschedule, we'll offer new times promptly.
Capacity. We accept up to 4 paid Company Installs per calendar month (Pacific time). When the month is full, our application page shows the next opening.
Cancellation and refunds. You may cancel by email before your first live training for a full refund. After the first live training has taken place (or is treated as delivered), the Company Install isn't refundable, except where the law requires otherwise. If we can't deliver the first training within 60 days of your completed intake for reasons on our side, you may cancel for a full refund.
License. The custom materials are licensed to your company for internal use by your own sales team (employees and contractors) for as long as you like, including after the 3 months of Team 10 end. You may not resell or publish them. We keep ownership of our underlying kit content and may reuse our general methods and non-confidential improvements, but not your logo or confidential information.
No results promised. Sections 3-5 apply in full. We don't promise any increase in sales, appointments, close rates or revenue.
8. Prices and payment
Prices are in US dollars and are shown before you pay. Payments are processed by Stripe; we don't receive or store your full card number. Sales tax may be added where required by law. You authorize us (through Stripe) to charge your payment method for what you buy.
9. Subscriptions and automatic renewal
- Reservations (the pre-sale, open until Sunday, November 15, 2026 at 11:59 PM Pacific): you pay $0 at checkout and your card is saved. Your first charge is on Dec 1, 2026 (12:00 AM Pacific), when Kit 02: Selling Solar Leases & PPAs After the Credit is planned to ship, at the plan price shown at checkout, and then every month or year until you cancel. A reservation doesn't include access to any kits or files; access starts with that first successful payment. If Kit 02 isn't delivered by Dec 1, 2026, we'll move your first charge later until it is and email you the new date; we never move it earlier. Cancel anytime before your first charge and you pay nothing.
- Your subscription renews automatically at the price and interval shown next to the subscribe button and at checkout until you cancel. Founding prices (subscriptions started by Sunday, November 15, 2026 at 11:59 PM Pacific): $29 every month or $290 every year for the Rep Membership; $199, $399 or $699 every month for team plans. Prices for subscriptions started after that deadline: $39 every month or $390 every year for the Rep Membership; $249, $499 or $899 every month for team plans. By subscribing, you agree to these recurring charges.
- Cancel anytime, online: use Manage billing (Stripe's billing portal) or email [email protected]. Cancellation takes effect at the end of the current paid period; you keep access until then, and you won't be charged again.
- Founding price lock: if you started your subscription by Sunday, November 15, 2026 at 11:59 PM Pacific, you keep your founding price for as long as you stay subscribed without a break (a pause you ask us for doesn't count as a break), even after the price for new subscribers goes up. If you cancel and later subscribe again, the price at that time applies.
- Switching plans keeps the founding price: if you switch between monthly and annual Rep Membership, or move your team to a different Teams tier (Team 10, Team 25 or Org 50), with no break in your subscription, you pay the founding price of the new plan ($29/mo or $290/yr; $199, $399 or $699/mo), not the price for new subscribers.
- Price lock and taxes: while you stay subscribed (including after a plan switch as above), we won't raise your price. If sales tax starts to apply where you live, we'll email you at least 7 and no more than 30 days before tax is first added, with how to cancel. Nothing changes for a period you've already paid for.
- Failed payments: if a renewal payment fails, Stripe may retry it. Access may pause until payment succeeds.
- Emails about your subscription, in the order you'd get them. Each one includes your plan, that it renews automatically until you cancel, the amount, how often you're charged and your next charge date, and how to cancel:
- Confirmation, right after you subscribe or reserve: these terms, our cancellation policy and how to cancel, including how to cancel a reservation before you pay anything.
- First-charge reminder (reservations): 8 days before your first charge, so on Nov 23, 2026 for a Dec 1, 2026 first charge. If your first charge date moves, we email you the new date when it moves and send a new reminder 8 days before it.
- Credit ending (if a credit covers more than your first charge): about 10 days before your first full-price charge.
- Annual renewal (annual plans): 20 days before each renewal.
- Yearly reminder (monthly and team plans): once a year, around the anniversary of when you subscribed.
- Tax notice: only if sales tax starts to apply, as described above.
10. Promotions
Promotional offers apply only as described on the offer, end at the stated deadline, can't be combined unless we say so, and have no cash value. Kit 01 credit: if you bought Kit 01 and reserve a Rep Membership or team plan from your Kit 01 download page by Sunday, November 15, 2026 at 11:59 PM Pacific, we add a one-time $47 credit to your account. It comes off your first subscription charges until it's used up. One credit per Kit 01 purchase. It isn't cash, can't be transferred, and ends if Kit 01 is refunded (any unused part is removed). If you ask for a Kit 01 refund after some of the credit has been used toward a membership, the refund is reduced by the amount used. Team License credit: if your company buys a Teams plan (Team 10, Team 25 or Org 50) within 30 days of buying the Kit 01 Team License, and starts it from the Team License download page, we credit the $297 you paid toward the team plan. If those 30 days would run into the time when team plans are closed to new buyers (from Sunday, November 15, 2026 at 11:59 PM Pacific until team plans reopen to new buyers on Dec 1, 2026, or later if regular team prices go live later), you instead have 30 days from the day team plans reopen. It comes off your first team charges until it's used up. One credit per Team License purchase. It replaces the $47 Kit 01 credit; the two don't stack. It isn't cash, can't be transferred, and ends if the Team License is refunded (any unused part is removed). If you ask for a Team License refund after some of the credit has been used toward a team plan, the refund is reduced by the amount used.
11. Refunds
See our Refund Policy, which is part of these terms.
12. Suspension and termination
You may stop using the Materials and cancel anytime. We may suspend or end your access if you materially break these terms (for example, sharing files or seats outside your license, or fraud). Except for fraud or abuse, we'll email you first and give you a chance to fix it. If we end a subscription without cause, we'll refund the unused part of your current paid period. Sections 3-5, 7 and 13-17 survive termination.
13. Disclaimer of warranties
To the extent the law allows, the Materials and site are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We work to keep facts sourced and current, but we don't guarantee the Materials are error-free or up to date at the moment you use them. Some states don't allow these exclusions, so some may not apply to you.
14. Limitation of liability; indemnity
To the extent the law allows, we won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, commissions or business, and our total liability for any claim related to these terms or the Materials is limited to the greater of the amount you paid us in the 12 months before the claim or $100. This doesn't limit liability that can't be limited by law, such as for our fraud, gross negligence or willful misconduct.
To the extent the law allows, you'll defend and indemnify us against third-party claims (including regulator actions) arising from how you or your team use the Materials in sales activity, or from your violation of these terms or any law (such as telemarketing, texting, door-to-door or solar sales laws). This doesn't apply to claims caused by our own violation of law.
15. Disputes: informal resolution, then individual arbitration
Talk to us first. Before filing any claim, email [email protected] with your name, a description of the problem and what you want. We'll try in good faith to resolve it within 30 days. Most issues are solved with a refund or a reply.
Arbitration. If we can't resolve it, you and we agree that any dispute arising from these terms, the Materials, the site or your purchase will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or, for team plans bought by a company, its Commercial Arbitration Rules). The Federal Arbitration Act governs this section. For consumer claims, we'll pay all AAA filing, administration and arbitrator fees beyond what you would pay to file in court, unless the arbitrator finds your claim frivolous. The hearing will be by video or phone, or in the county where you live, as you prefer. The arbitrator can award the same individual remedies a court could.
Exceptions. Either of us may bring an individual claim in small claims court if it qualifies, and either of us may ask a court to stop infringement or misuse of intellectual property.
Class action waiver. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective or representative proceeding, and the arbitrator can't consolidate claims of different people without everyone's consent. If this waiver is found unenforceable for a particular claim, that claim (and only that claim) will be decided in court, not arbitration.
30-day opt-out. You can opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these terms, with your name, the email you used, and a clear statement that you opt out of arbitration. Opting out doesn't affect anything else in these terms.
Changes. If we change this section, the change won't apply to a dispute you've already told us about, and you may reject the change by emailing us within 30 days of the notice.
16. Governing law and courts
Washington State law governs these terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs section 15. Any claim not subject to arbitration will be brought in the state or federal courts located in Spokane County, Washington, and you and we consent to their jurisdiction. Nothing here takes away rights you have under the consumer protection laws of the state where you live that can't be waived.
17. Changes to these terms; general
We may update these terms. We'll post the new version with a new effective date and, for material changes, email active customers at least 30 days before they take effect. Changes don't apply retroactively to purchases already made. If you don't agree, you can cancel before the change takes effect. These terms, the Refund Policy and the Privacy Policy are the entire agreement. If any part is unenforceable, the rest stays in effect. We aren't liable for delays caused by events outside our reasonable control. You may not assign these terms; we may assign them to a successor of our business.
